Terms of Service

1. Acceptance of Terms

These Terms of Service are the agreement between you and LexLab ("we", "us", "the operator") for everything on lexlabtools.com: the website, your account, and every product and service we sell or give away. By creating an account, placing an order or using the site, you agree to them. If you do not agree, do not use the services.

Several other policies form part of these Terms and apply alongside them: the Acceptable Use Policy, the Billing, Refunds & Cancellation Policy, the Service Levels page, the Domain Registration Policy, the Privacy Policy and, for business customers who put other people's personal data into our services, the Data Processing Agreement. Where one of those covers a point in more detail, the more specific document wins.

2. Eligibility

To open an account and use the services you must:

• Be at least 18, or the age of majority where you live if that is higher
• Be able to enter into a binding contract
• Not be barred from using the services under any law that applies to you
• Give accurate information when you register and keep it accurate

An account is registered with your Telegram username, an email address and a password. The Telegram username is your login name and is required.

3. Products, Services and Licensing

LexLab sells and provides the following. Each line says what you are actually getting.

• Engineering services. Python/Django development and custom work. Scope, price and delivery are set in a written statement of work agreed before we start. Nothing is owed by either side until it is agreed.
• LexlabMTA and LexLab Relay. Dedicated-IP SMTP subscriptions billed monthly, for application email and for campaigns to recipients who opted in. The sending rules are in Section 4.1 and the Acceptable Use Policy.
• VPS and Windows RDP hosting. Servers we resell from Contabo, provisioned in the EU unless you choose another available region. You get root or administrator access, and you are responsible for what runs on the server.
• Domain registration and DNS. Domains are registered through Namecheap. DNS for some domains is served through Cloudflare. Renewals, expiry, transfers and registrant rights are in the Domain Registration Policy.
• Software tools and website templates. Digital downloads, licensed under the Regular or Extended licence in Section 3.1.
• Marketplace listings. Items offered by third-party sellers. We relay your order to the seller and the seller delivers. We do not hold payment on the seller's behalf or release it on delivery, and the seller, not LexLab, is responsible for the item.
• SMM panel. Social-media orders that we pass to an upstream provider to fulfil. Delivery times and counts come from that provider and are estimates.
• Prepaid wallet. A USD balance you top up in cryptocurrency through NOWPayments or in Nigerian naira through Paystack or Flutterwave, then spend on the site. The balance cannot be withdrawn and earns no interest. If a crypto payment comes in under or over the invoice amount, the difference is credited to the wallet.
• Free tools and research. The email verifier, DNS and SMTP checker, MX lookup, redirect checker and the security research hub are free. They are provided as-is and may change or be withdrawn without notice.

Prices and renewal periods are the ones shown at checkout. Billing, renewals and what is refundable are in the Billing, Refunds & Cancellation Policy. What we commit to on provisioning, support and maintenance is on the Service Levels page.

3.1 Tool and template licences

When you buy a tool or template you get a non-exclusive, non-transferable licence to use it under the licence type you selected:

• Regular licence: one end product, for yourself or for a client, where end users are not charged for access to the product's functionality.
• Extended licence: one end product where end users may be charged for access, including SaaS, subscription and other commercial platforms.

Both licences cover a single end product. Each further deployment needs its own licence.

4. Prohibited Uses

Our products and services are for lawful use. You agree not to use them, or anything built, hosted or sent with them, for:

• Phishing, credential harvesting, identity theft, or impersonating a person, business or institution
• Financial fraud, investment scams, Ponzi schemes or money laundering
• Fake or deceptive platforms built to mislead the people who use them
• Operating financial services that need a licence you do not hold
• Distributing malware, attacking systems you do not own or have permission to test, or collecting personal data without a lawful basis
• Spam of any kind, or any other activity meant to harm, deceive or defraud
• Anything else that breaks the law where you are, where we are, or where your users are

The full list, with how we monitor and enforce it, is the Acceptable Use Policy. Breaking it is a breach of these Terms.

4.1 SMTP, hosting and domain acceptable use

This is the short version. The Acceptable Use Policy governs, and it has the detail on sender requirements, rate limits and enforcement.

On LexlabMTA, LexLab Relay, and any mail you send from a server or domain you get from us:

• Send only to recipients who opted in to hear from you. Application email (confirmations, password resets, receipts, alerts) and campaigns to your own opted-in list are both fine.
• Every bulk message carries a working unsubscribe link, and you honour it.
• No purchased, rented or scraped lists. No harvested addresses. "Verified" does not make them opted in.
• No phishing, malware, credential harvesting or impersonation. No lookalike domains built to pass as someone else.

The same rules apply to hosting. A VPS or RDP server from us is not a place to run a spam tool, a phishing kit, a command-and-control node or a scanner pointed at other people's networks. Domains registered through us are not to be used for any of the above either. If an abuse report holds up, or we see it ourselves, we suspend first and talk second (Section 10).

5. Your Responsibilities

You are responsible for:

• Complying with the laws that apply to you and to the people you serve
• Holding any licence, permit or registration your business needs
• Securing what you deploy: patching your server, protecting your application, handling your users' data properly
• The content you create, host, send or distribute with our products
• What third parties do through your deployed applications and servers
• Keeping your account password, SMTP credentials and server passwords confidential. Change any credential we provision for you as soon as you receive it. Anything done through your account or credentials is treated as done by you until you tell us otherwise.
• Paying on time. A service runs to the end of the period you paid for and stops if it is not renewed.

6. Intellectual Property

Tools, templates, code, designs and content provided by LexLab remain our property or that of our licensors. A licence lets you use them as described; it does not transfer ownership. Work delivered under a statement of work is owned as that statement says. Items sold by marketplace sellers belong to those sellers. You may not:

• Redistribute, resell, lease or sublicense our products
• Share purchased products with third parties
• Remove or alter copyright, trademark or proprietary notices
• Claim ownership of our products or of derivative works
• Use the LexLab name, logo or branding without written permission

Copyright complaints are handled under the Copyright & DMCA Takedown Policy.

7. Disclaimer of Warranties

Products and services are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that any product will be error-free, that any service will be uninterrupted, that mail will be delivered by every receiving system, or that a marketplace seller or upstream provider will perform. The commitments we do make on provisioning, support and maintenance are on the Service Levels page and nowhere else.

8. Limitation of Liability

To the extent the law allows, LexLab and the operator are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data, business interruption or third-party claims, arising from your use of our products and services. That includes losses from unauthorised access to your account or servers, from a marketplace seller or upstream provider not delivering, and from mail that is delayed, bounced or blocked by a receiving system.

Our total liability to you for any claim is capped at the amount you paid us for the affected service in the 12 months before the claim arose. For free tools and free content that amount is zero. Nothing in this section limits liability that cannot be limited by law.

9. Indemnification

You agree to indemnify and hold harmless LexLab and the operator from any claims, damages, losses, liabilities, costs and expenses, including reasonable legal fees, arising from your use or misuse of our products and services, your breach of these Terms or the Acceptable Use Policy, your breach of any law, or any fraudulent, illegal or harmful activity you carry out using them.

10. Suspension and Termination

We may suspend or terminate your account, or a single service on it, with immediate effect if:

• You breach the Acceptable Use Policy or Section 4 of these Terms
• A service is not paid for by its renewal date (what happens on non-payment is in the Billing, Refunds & Cancellation Policy)
• We have reasonable grounds to suspect fraud, including payment fraud, multiple accounts opened to abuse promotions, or an account that is not yours
• We receive a valid request from law enforcement or a court
• Your use puts our infrastructure, IP reputation or other customers at risk

Where it is practical we tell you what happened and give you a chance to fix it. Where mail is actively going out or a server is actively attacking someone, we suspend first. Fees for a service terminated for a breach are not refunded. You can close your account at any time by writing to support. Services you have already paid for run to the end of the period and are not renewed.

11. Cooperation with Authorities

We cooperate with law enforcement and regulators investigating illegal activity. We may disclose account information when the law requires it, in response to a valid legal request, or when we reasonably believe disclosure is needed to protect our rights, the safety of others, or to investigate fraud or abuse. What we hold, and for how long, is in the Privacy Policy.

12. Billing, Refunds and Cancellation

Because the products are digital, a sale is generally final once access has been granted. Recurring services can be cancelled at any time and run to the end of the period you already paid for. Domain registrations are never refundable.

13. Changes to These Terms

We may change these Terms. For material changes we give at least 14 days' notice before they take effect, by a notice on the site, by email to the address on your account, or by Telegram if you have linked the bot. Changes needed for legal or security reasons may take effect immediately. The date at the top of this page is the date the current version took effect. If you keep using the services after that date, you accept the new Terms. If you do not accept them, stop using the services and write to us to close your account.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision is limited or removed to the minimum extent necessary, and the rest of the Terms stay in force.

15. Governing Law

These Terms are governed by the laws of [JURISDICTION], without regard to its conflict of law rules. Any dispute arising out of or relating to these Terms or the services is subject to the exclusive jurisdiction of [COURTS / VENUE].

Nothing in this section removes rights you have under mandatory consumer protection law in your country of residence.
